Terms of Service

These Terms of Service ("Terms") govern your use of the Solve3 website and the services we provide. By engaging Solve3 or by using solve3.co, you agree to these Terms. If you do not agree, please do not use our services.

Solve3 ("we", "us", "our") refers to the trading entity of Solve3, with operating offices in the United Kingdom, the United States, and Pakistan. The contact email is hello@solve3.com.

1. Services

Solve3 provides software development, product design, AI engineering, and consulting services (the "Services"). The scope, timeline, fees, deliverables, and acceptance criteria for any engagement are described in a separate Statement of Work ("SoW") or proposal signed by both parties. The SoW takes precedence over these Terms in the event of conflict.

2. Eligibility & account

You represent that you have authority to enter into a contract with us on behalf of any organization you reference. You agree to provide accurate information and to maintain the confidentiality of any credentials we may issue you.

3. Fees & payment

Fees are set out in the applicable SoW. Unless otherwise stated, invoices are payable within fourteen (14) days of issue. Late payments may accrue interest at the statutory rate. We reserve the right to suspend Services for accounts in significant arrears, on prior written notice.

4. Intellectual property

Upon receipt of full payment for the relevant deliverables, we assign to you all right, title, and interest in the custom-developed deliverables produced for you under the SoW. We retain ownership of any pre-existing tools, libraries, frameworks, design tokens, or know-how ("Solve3 Background IP") we incorporate into deliverables, and we grant you a perpetual, royalty-free license to use that Background IP solely as part of the deliverables.

Third-party open-source software included in deliverables remains subject to its respective license. We will use commercially reasonable efforts to surface those licenses.

5. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in the course of the engagement, and to use it only for purposes of performing under the SoW. Confidentiality obligations survive termination for three (3) years.

6. Acceptable use

By engaging Solve3, you agree not to use our Services to break any applicable law or regulation; infringe the rights of third parties; develop systems that target individuals in ways prohibited by human-rights or anti-discrimination law; or produce or distribute malware, spam, or other harmful content.

7. Warranties & disclaimers

We perform Services with reasonable skill and care, consistent with industry standards. Except as expressly stated in these Terms or in the applicable SoW, the Services and any deliverables are provided "as is" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, the aggregate liability of either party arising out of or related to the engagement is limited to the fees paid by you to Solve3 under the relevant SoW in the twelve (12) months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages, including lost profits, revenue, or data, even if advised of the possibility.

9. Termination

Either party may terminate an SoW for material breach if the breach is not cured within thirty (30) days of written notice. On termination, you will pay for Services rendered up to the termination date, and each party will return or destroy Confidential Information of the other, except as required to be retained by law.

10. Independent contractor

Solve3 provides Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

11. Governing law

These Terms are governed by the laws of England and Wales. The courts of London, England have exclusive jurisdiction to resolve disputes arising under these Terms, except that we may bring claims for unpaid fees in any court of competent jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. The most current version will always be posted at solve3.co/terms. Continued use of our Services after changes take effect constitutes acceptance.
